WELCOME TO MAXVR.COM. THE FOLLOWING TERMS AND CONDITIONS GOVERN YOUR USE OF THE MAXVR.COM WEBSITE (THE "WEBSITE") AND FORM A LEGAL AGREEMENT BETWEEN YOU AND VRX STUDIOS INC. (THE REGISTERED OWNER OF MAXVR.COM). YOU ARE REQUIRED TO READ THIS AGREEMENT (THE "AGREEMENT") AND ACCEPT ALL OF ITS PROVISIONS BEFORE YOU MAY LICENSE ANY IMAGES CONTAINED WITHIN MAXVR.COM™.

BY CLICKING THE "I ACCEPT" BUTTON AND COMPLETING THE REGISTRATION PROCESS, YOU ARE CONFIRMING THAT YOU WILL ABIDE BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE, KINDLY DISCONTINUE USING THIS WEBSITE.

1. All panoramas, photographs, illustrations, digital art and other forms of visual content on this website (referred to individually as the "Image" ,collectively as the "Images", or generally as the "Image(s)") are the exclusive property and copyright of VRX Studios Inc. and its contributing artists.

2. What you CAN do with these Images. The Images are presented on MaxVR.com™ for selection and licensing purposes only. They are NOT royalty-free images or clip art.

3. What you CANNOT do with these Images. Anything else. Except as noted in Section (2) above, our Images may not be copied or reproduced in any manner whatsoever without the prior written consent of VRX Studios Inc. as evidenced by a written invoice/license, and subject to the payment of that invoice/license. Licensing fees are based on how many Images are used at any given time and in what scope. Unless you have received a separate written copyright license and paid the fees outlined in that license to VRX Studios Inc.: (a) it is illegal to copy or use any portion of an Image whether by photographic means, scanning, digital copying, or as reference for another illustration; (b) it is illegal to incorporate all or part of an Image into another image. Changing an Image does not make it yours. The original Image, however modified or distorted, is still protected by copyright.

4. VRX Studios Inc. and its contributing artists earn their living by licensing and controlling all rights to the Images. VRX Studios Inc. licenses varying levels of exclusive rights to its clients and has an obligation to protect that exclusivity on behalf of its clients and contributing artists. You agree that any unauthorized use, publication or transmission of any Image by you is an infringement of copyright and you will be responsible for fees, damages and compensation.

GENERAL TERMS AND CONDITIONS OF LICENSING.

A. Licensing

When you license MaxVR.com™ Images (the "Images") on behalf of your company or employer and/or on behalf of a client, then the name of you and/or your company or employer and the name of your client must be included in your account profile. This information can be given during the registration process or prior to licensing.

The term "the Client" as used herein is deemed to include you, and/or your company or employer and, where applicable, your corporate client (the owner of the URL where the Image(s) will appear), individually and collectively.

When the Client licenses Image(s) from MaxVR.com™, the Client understands and agrees that:


1. Image(s) License (the "License"). VRX Studios Inc. grants Client a non-exclusive, limited license to use the Image(s) on a single Web site of Client's. Use of the Image(s) on additionally named Client sites shall be subject to additional licensing fees. Client shall not allow use of any third party co-branding of the Image(s) on Client's site(s). Client agrees to notify MaxVR.com™ in writing for advance approval prior to the conclusion of any agreement with a third party co-branding deal involving use of the third party brand in conjunction with the Image(s). Approved third party branding of the Image(s) on Client's site(s) may be subject to additional licensing fees.

2. RESTRICTION ON SUB-LICENSING IMAGES: Client shall not be allowed to sublicense the Image(s) to third parties for inclusion in such third parties' site(s).

3. Licensing Fees; Advance Fee Payments: Licensing Fees shall be paid monthly by Client according to the terms set forth herein. Expanded use of Client's License for additional Client site(s) shall be subject to additional licensing fee payments. VRX Studios Inc. reserves the right to increase the licensing fee payments for the Image(s) given 30 days notice to Client. VRX Studios Inc. (MaxVR.com™) will charge Client's credit card in advance of each month's usage. Unless otherwise stated, all fees are quoted in U.S. Dollars.

4. Copyright. All Images included on MaxVR.com™ are and will remain the exclusive property and copyright of VRX Studios Inc. and the respective artists.

5. Full disclosure. The Client will be required to supply VRX Studios Inc. with all the necessary information to fully describe the manner in which the Image(s) will be used, including the Client's name, type of business, and the URL(s) of the web site where the Image(s) will be used.

6. Granting of rights. No rights will be granted by VRX Studios Inc. until the Client has agreed to the terms herein and paid the appropriate Licensing fee.

7. Verification of information. The Client is responsible for the verification of all information.

8. Non-exclusive rights. Unless otherwise stated in a separate licensing agreement, rights are always non-exclusive. If VRX Studios Inc. grants exclusive rights subject to additional fees, it will take reasonable precautions to avoid licensing the Image(s) in a manner which, in its opinion, conflicts with the terms of the separate licensing agreement.

9. Context of use. The Client will not use any Image(s) in a defamatory, libelous, or pornographic context or contrary to ethical business practices. The Client is responsible for all text used and claims made in connection with the Image(s).

10. Copyright infringement. MaxVR.com™ will be entitled to a compensatory fee equal to one hundred (100) times the usual licensing fee for each unauthorized use by the Client of any Image(s). "Unauthorized use" means any reproduction of an Image that is not specifically authorized by VRX Studios Inc.

11. Credit or cancellation. The Client can cancel the License at any time by accessing its profile in MaxVR.com™ and choosing "Suspend Service".

12. Liability and indemnification. If the Client breaches any of the terms of the License, the Client will indemnify VRX Studios Inc. against all claims and costs, including all legal costs. VRX Studios Inc.'s liability in all instances will be limited to the amount paid to VRX Studios Inc. for the License.

13. Binding terms. Only the terms of the License will be binding on VRX Studios Inc. Any terms of the Client's requisition or purchase order conflicting with the terms of the License are not applicable. The terms of the License may only be changed by written notice from VRX Studios Inc.

14. Termination. This license will terminate automatically if you fail to comply with the limitations described above. Upon termination, the delivery of the licensed Image(s) will cease immediately and you must promptly remove VRX Studios Inc.'s copyrighted material (e.g. all reference to VRX Images Inc.'s images including the JavaScript file) from your web pages.

15. Headings. The bolded headings contained in these Terms and Conditions of Licensing are inserted for convenience of reference only and do not affect the License in any way.

16. Governing law and jurisdiction. The License is governed by the laws of British Columbia and Canada, except for copyright infringements outside of Canada, which will be governed by applicable law.

Ownership of this Website. This website is owned and operated by VRX Studios Inc. All its' content, including (without limitation) images, text, graphics, and software (the "Content"), is the exclusive property of VRX Studios Inc., its contributing artists, and licensors. The Content may not be copied or retransmitted in any form without the express written permission of VRX Studios Inc.

Trademarks "MaxVR.com" is the registered trademark of VRX Studios Inc., Vancouver, BC, Canada. This trademark may not be used in any manner whatsoever without the express written consent of VRX Studios Inc.
